Terms of Service

By accessing or using Proxy's services, including our website at useproxy.ai, dashboard at app.useproxy.ai, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you and Proxy Computing Inc. ("Proxy," "we," "us," or "our"). We may update these Terms from time to time. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

To use the Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must complete our identity verification process (KYC) before accessing certain features, including card issuance and payment processing.

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials, including API keys and agent tokens.

You are responsible for all activities that occur under your account, including actions taken by AI agents operating with your credentials. You must notify us immediately of any unauthorized access or use of your account.

Proxy provides virtual card issuance and payment infrastructure for AI agents and automated systems. Our Services include:

• Virtual card creation and management
• Spending policy configuration and enforcement
• Intent declaration for purchase authorization
• Transaction monitoring and audit trails
• API and MCP server access for programmatic integration
• Dashboard for account management

Virtual cards are issued by our banking partners in accordance with applicable regulations. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services for any illegal activities, including fraud or money laundering
• Process payments for prohibited goods or services
• Attempt to circumvent spending policies or security measures
• Share account credentials or API keys with unauthorized parties
• Interfere with or disrupt the Services or related infrastructure
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services in any way that could harm Proxy, our partners, or other users

When using Proxy with AI agents or automated systems:

• You are responsible for all transactions initiated by your agents
• You must configure appropriate spending policies before enabling agent access
• You must declare intents for significant purchases when required
• You must monitor agent activity and respond to alerts promptly
• You accept that AI agents may make unexpected or erroneous purchases

Proxy's spending policies and audit systems help reduce risk, but do not eliminate your responsibility for agent actions.

Fees for the Services are described on our pricing page and in your service agreement. You agree to pay all applicable fees, including:

• Platform fees based on your plan tier
• Transaction fees as a percentage of purchase volume
• Card issuance fees where applicable

Fees are non-refundable except as required by law. We may change our fees with 30 days notice. Failure to pay fees may result in suspension or termination of your account.

The Services and all related content, features, and functionality are owned by Proxy and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. This license terminates when your account is closed or these Terms are terminated.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE ARE NOT RESPONSIBLE FOR THE ACTIONS OF AI AGENTS, THIRD-PARTY SERVICES, OR MERCHANTS. YOU USE THE SERVICES AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROXY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Proxy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your AI agents' actions.

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

Proxy targets 99.9% uptime for the Services, measured monthly. This excludes scheduled maintenance, which we will announce at least 24 hours in advance when possible.

API response times target 500 milliseconds or less for 99% of requests under normal operating conditions. These targets are goals, not guarantees, and do not create any right to credits or refunds.

We will use commercially reasonable efforts to notify you of any service disruptions that may affect your use of the Services. Current system status is available at status.useproxy.ai.

Proxy contracts with third-party service providers to provide identity verification and know-your-customer (KYC) services ("KYC Services"). These providers may include identity verification, document verification, and fraud detection services.

You acknowledge and agree that:

• KYC providers are not parties to these Terms and have no direct liability to you
• KYC providers retain all intellectual property rights in their services, databases, and proprietary technology
• You will not reverse engineer, decompile, or attempt to derive source code from any KYC provider systems
• You will use KYC Services only for identity verification purposes permitted under applicable law
• You will not use information obtained through KYC Services to take adverse action as defined under the Fair Credit Reporting Act

KYC providers may modify their services from time to time. Any limitations or changes to KYC Services will be communicated through our documentation or direct notice.

Neither party will be liable for any failure or delay in performing its obligations under these Terms (except for payment obligations) where such failure or delay results from circumstances beyond the party's reasonable control.

Such circumstances include, but are not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, power outages, internet or telecommunications failures, or actions by card networks, banking partners, or regulatory authorities.

The affected party will promptly notify the other party of the force majeure event and use reasonable efforts to mitigate its effects.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
